6. Intellectual property on the website
Unless otherwise stated, the website and its contents are owned by or licensed to Mahers Model Makers Ltd.
This includes:

  • Text;

  • Photographs;

  • Video;

  • Graphics;

  • Logos;

  • Branding;

  • Layout;

  • Project descriptions;

  • Model photographs;

  • Designs; and

  • Other original material.

Third-party names, designs, logos and trade marks remain the property of their respective owners.
7. Links to other websites
Our website may contain links to third-party websites.
These links are provided for convenience. We do not control and are not responsible for:

  • Third-party content;

  • Availability;

  • Accuracy;

  • Security;

  • Privacy practices; or

  • Goods or services provided by a third party.

A link does not necessarily mean that we approve or endorse the organisation or its content.
8. Linking to our website
You may link fairly and lawfully to our homepage, provided that the link:

  • Does not damage our reputation;

  • Does not suggest an association, approval or endorsement where none exists;

  • Does not display our website within another website’s frame;

  • Is not misleading; and

  • Is not placed on a website containing unlawful or infringing material.

We may withdraw linking permission at any time.
Directly linking to, reproducing or republishing individual portfolio images for commercial or promotional purposes requires our written permission.
9. Enquiries and quotations
An enquiry submitted through our website, by email, telephone, social media or another method does not create a contract.
Unless expressly stated otherwise, our quotations:

  • Are based on the information available at the time;

  • Are subject to clarification of the final brief;

  • Assume that supplied drawings, dimensions and files are accurate;

  • Include only the goods and services expressly described;

  • Exclude VAT where applicable unless stated otherwise;

  • Exclude delivery and installation unless expressly included; and

  • Remain valid for the period stated in the quotation.

If no validity period is stated, a quotation will normally remain valid for 30 days. We may withdraw or revise an unaccepted quotation.
An estimate is an indication of likely cost and is not a fixed-price quotation.
10. Formation of a contract
A contract is formed only when:

  • We have accepted the project in writing;

  • The client has accepted our written quotation;

  • Any required pre-payment has been received;

  • We have agreed the project scope; and

  • We have received sufficient information to commence work.

A purchase order will not bind us unless we expressly accept it.
Terms contained in a client’s purchase order or other document will not override our quotation or these Terms unless we expressly accept those terms in writing.
11. Scope of work
We will supply the goods and services described in the accepted quotation or project agreement.
The client is responsible for checking that the quotation correctly records:

  • Project scope;

  • Quantity;

  • Scale;

  • Overall dimensions;

  • Materials;

  • Colours and finishes;

  • Level of detail;

  • Lighting or interactive features;

  • Base, plinth and acrylic-cover requirements;

  • Packing and travel-case requirements;

  • Delivery and installation arrangements;

  • Project timescale; and

  • Any special technical or site requirements.

Anything not expressly included in the quotation may be treated as additional work.
12. Information supplied by the client
The client must provide accurate and complete information in sufficient time for us to carry out the project.
This may include:

  • CAD files and 3D models;

  • Plans, elevations and sections;

  • Dimensions and scale information;

  • Material and finish references;

  • Logos and artwork;

  • Site plans and context information;

  • Delivery and installation details;

  • Access restrictions;

  • Health-and-safety information;

  • Required deadlines; and

  • Timely instructions and approvals.

We are entitled to rely on information supplied by the client or by someone acting on the client’s behalf.
Unless expressly included in our quotation, we are not responsible for independently verifying architectural, engineering, structural or dimensional accuracy.
We are not responsible for mistakes, delays or additional costs caused by:

  • Inaccurate information;

  • Incomplete or inconsistent drawings;

  • Missing dimensions;

  • Late information;

  • Corrupt or unsuitable files;

  • Changes to the underlying design;

  • Late approvals; or

  • Instructions supplied by unauthorised persons.

13. Rights to client-supplied material
The client confirms that it owns or has permission to provide and authorise our use of all:

  • Drawings;

  • CAD files;

  • Designs;

  • Photographs;

  • Logos;

  • Trade marks;

  • Written material; and

  • Other project information.

The client must tell us about any confidentiality, copyright, licence, planning, export or publicity restriction before work begins.
The client will be responsible for claims arising from material that it was not entitled to provide or authorise, except to the extent that a claim results from our unauthorised use.
14. Scale models and design interpretation
Physical models are representations created at a particular scale and for an agreed purpose.
The client acknowledges that:

  • Small elements may need to be simplified, enlarged, strengthened or omitted;

  • Materials may require a minimum practical thickness;

  • Colours and textures may appear different when reduced to scale;

  • Natural materials can vary;

  • Manufacturing processes involve reasonable tolerances;

  • Lighting can change the appearance of colours and finishes;

  • Fine or projecting components may be fragile; and

  • A presentation model is not a substitute for a construction, engineering or manufacturing drawing.

Unless expressly agreed otherwise, our models are intended for display, exhibition, consultation, marketing or design-development purposes.
They are not toys, structural prototypes or certified engineering instruments.
15. Samples, proofs and approvals
We may provide:

  • Drawings;

  • Digital previews;

  • Progress photographs;

  • Material samples;

  • Colour samples;

  • Prototype parts; or

  • Other information for approval.

Approval may be provided by email or another written method.
Once approval has been given:

  • We may proceed in reliance on that approval;

  • Completed or committed work will remain chargeable;

  • Later changes may involve additional cost; and

  • Later changes may delay completion.

Colours displayed on monitors or in photographs are approximate. Physical samples provide a more reliable reference, although reasonable variations can still occur.
If the client delays approval, the completion date may be adjusted accordingly.
16. Variations and additional work
A variation includes:

  • Changes to scale, size, design or quantity;

  • Changes to materials, colour or finish;

  • Additional detail or functionality;

  • Revised CAD files or drawings;

  • Changes requested after approval;

  • Additional meetings or site visits;

  • Additional packing, delivery or installation;

  • Accelerated or out-of-hours work;

  • Work caused by inaccurate information; and

  • Anything outside the accepted scope.

Where practical, we will explain the likely effect on price and timing before carrying out a significant variation.
Additional or abortive work may be charged at £55 per hour, plus materials, subcontractor charges, travel and other reasonable expenses, unless another rate is stated in the quotation.
Where urgent work is reasonably required to protect the project or an agreed deadline, and prior approval cannot reasonably be obtained, we may carry out limited necessary work and notify the client as soon as practicable.
17. Prices and VAT
Prices are stated in pounds sterling unless another currency is specified.
VAT will be added where applicable unless the quotation states that VAT is included or is not applicable.
The client is responsible for any:

  • Import duties;

  • Customs charges;

  • Local taxes;

  • Clearance fees; and

  • Overseas administration charges,

unless these are expressly included in our quotation.
If exchange rates, material prices, freight costs or third-party charges change materially before a quotation is accepted, we may revise the quotation.
18. Payment terms
Unless the quotation states otherwise, our standard payment terms are:

  • 50% pre-payment before work commences; and

  • 50% on completion and before collection, delivery or installation.

Larger or longer projects may be subject to staged payments, as stated in the quotation.
Payments must be:

  • Made in cleared funds;

  • Made by the invoice due date;

  • Made without deduction or set-off, except where required by law; and

  • Made in the currency stated on the invoice.

We may suspend work, withhold delivery or decline to commence another stage if an invoice is overdue.
For business clients, we reserve the right to charge statutory interest, fixed compensation and reasonable debt-recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998 where applicable.
19. Ownership and title
Ownership of the completed physical goods will not pass to the client until all amounts due for the project have been paid in full.
Until ownership passes, the client must:

  • Take reasonable care of the goods;

  • Keep them identifiable as our property;

  • Not sell, dispose of or alter them without permission; and

  • Maintain appropriate insurance where the goods are in its possession.

Ownership of the physical model does not automatically transfer copyright, editable CAD files, production files, tooling or intellectual property.
20. Pre-payments
A pre-payment secures production capacity and contributes towards:

  • Project planning;

  • Initial design work;

  • Labour allocation;

  • Material purchases;

  • Subcontracted services; and

  • Workshop time reserved for the project.

If the client cancels, any refund will be calculated after deducting:

  • Work completed;

  • Work in progress;

  • Materials purchased;

  • Non-refundable commitments;

  • Subcontractor charges;

  • Abortive work;

  • Reserved capacity that cannot reasonably be reallocated; and

  • Other reasonable losses caused by cancellation.

We will take account of costs we save or reasonably recover as a result of cancellation.
Nothing in this section limits any mandatory consumer right.
21. Project timescales
Any start, completion, delivery or installation date is based on the circumstances and information available at the time.
Unless expressly guaranteed in writing, dates are reasonable estimates rather than strict contractual deadlines.
Timescales may be extended because of:

  • Late information;

  • Late approvals;

  • Client changes;

  • Supplier or subcontractor delays;

  • Material shortages;

  • Equipment failure that could not reasonably have been prevented;

  • Transport or customs disruption;

  • Illness or staff shortages;

  • Site-access restrictions;

  • Events outside our reasonable control; or

  • Other circumstances that could not reasonably have been anticipated.

We will notify the client of a significant delay and take reasonable steps to minimise its effect.
22. Cancellation by a business client
A business client wishing to cancel must notify us in writing.
The client will be responsible for:

  • Work completed up to the cancellation date;

  • Work in progress;

  • Materials ordered or purchased;

  • Non-refundable supplier and subcontractor charges;

  • Packing, storage or cancellation charges;

  • Abortive work at the applicable rate; and

  • Other reasonable losses resulting from cancellation.

Any cancellation charge will take account of costs that we save or can reasonably recover.
The client must also return or pay for any samples, prototypes or other items belonging to us.
23. Consumer cancellation rights
Most of our work is commissioned by businesses and professional organisations.
Where a client is acting wholly or mainly outside their trade, business, craft or profession, they may be considered a consumer. Nothing in these Terms removes or restricts a consumer’s statutory rights.
A consumer entering a contract at a distance or away from our premises may have a statutory 14-day cancellation period.
However, cancellation rights may not apply, or may end early, where:

  • Goods are made to the consumer’s specifications;

  • Goods are clearly personalised;

  • The consumer expressly asks for services to begin during the cancellation period; or

  • Another legal exception applies.

Because our models are usually individually designed and manufactured to a client’s specifications, the exception applying to bespoke or personalised goods may apply.
If a consumer asks us to begin providing services during a statutory cancellation period and then cancels, the consumer may be required to pay a proportionate amount for work properly completed before cancellation.
Where required, we will provide the consumer with additional statutory cancellation information.
24. Suspension or cancellation by us
We may suspend or terminate a project if:

  • Payment is overdue;

  • Required information or approval is not supplied;

  • The client commits a serious breach of the contract;

  • Continuing would be unsafe or unlawful;

  • The client behaves abusively towards our personnel;

  • The client becomes insolvent or appears unable to pay; or

  • Circumstances outside our reasonable control make performance impossible or impracticable.

Where circumstances allow, we will provide reasonable notice.
The client remains responsible for work completed and costs committed up to the date of suspension or termination.
25. Delivery and collection
Delivery is included only where expressly stated in the quotation.
The client must provide accurate information about:

  • The delivery address;

  • The delivery contact;

  • Permitted delivery times;

  • Parking and loading restrictions;

  • Doorway and lift dimensions;

  • Stairs and access routes;

  • Security procedures;

  • Site inductions;

  • Permits;

  • Floor-loading restrictions; and

  • Other relevant access requirements.

We are not responsible for delays or additional costs caused by inaccurate or incomplete access information.
If delivery cannot be completed for reasons outside our control, we may charge reasonable costs for:

  • Waiting time;

  • Additional labour;

  • Redelivery;

  • Storage;

  • Travel; and

  • Alternative transport arrangements.

The client should inspect the model promptly following delivery or collection.
26. Installation
Installation is included only where expressly stated.
The client is responsible for ensuring that:

  • The site is ready;

  • Access is safe and unrestricted;

  • Required permissions have been obtained;

  • Suitable power is available where needed;

  • Other contractors have completed relevant preparatory work;

  • Installation surfaces are suitable; and

  • Any client-supplied fixings or structures are fit for purpose.

Additional visits caused by an unprepared or inaccessible site may be charged separately.
We may stop installation work if we reasonably believe conditions are unsafe.
27. Risk and insurance
Risk in the physical goods passes to the client:

  • On delivery;

  • On collection by the client;

  • On collection by a carrier appointed by the client; or

  • At another point expressly stated in the quotation.

Once risk has passed, the client is responsible for:

  • Insurance;

  • Security;

  • Correct handling;

  • Storage;

  • Environmental conditions; and

  • Protection against accidental damage.

If we arrange transport, responsibility will be determined by the agreed delivery terms and any applicable carrier conditions.
28. Storage
If the client does not collect or accept delivery when the project is ready, we may store the model at the client’s risk.
After giving reasonable notice, we may charge reasonable storage, insurance and handling costs.
If goods remain uncollected and payment remains outstanding for a prolonged period, we may exercise any rights available to us by law.
We will not sell or dispose of a client’s goods without appropriate notice and legal entitlement.
29. Inspection and reporting problems
The client should inspect the model as soon as reasonably possible after delivery, collection or installation.
Visible transit damage should be:

  • Recorded on the carrier’s documentation where possible;

  • Photographed before unpacking is completed; and

  • Reported to us promptly.

Any other concern should be reported promptly with:

  • A clear description;

  • Supporting photographs; and

  • Details of when the issue was discovered.

A delay in reporting does not remove a consumer’s statutory rights, but prompt notification allows us to investigate and resolve issues more effectively.
30. Quality and manufacturing tolerances
We will provide our services with reasonable care and skill and produce goods in accordance with the agreed specification, subject to reasonable manufacturing and scale tolerances.
Natural and hand-finished materials may display variation in:

  • Grain;

  • Colour;

  • Tone;

  • Texture;

  • Pattern; and

  • Finish.

Minor variation that does not materially affect the appearance, purpose or agreed specification will not normally constitute a defect.
31. Faults and remedies
If our work materially fails to conform to the agreed specification because of our breach, we will investigate and provide an appropriate remedy.
Depending on the circumstances, this may include:

  • Repair;

  • Rectification;

  • Replacement of the affected component;

  • Repeating the relevant service;

  • A price adjustment; or

  • Another remedy required by law.

We are not responsible for problems caused by:

  • Normal wear and tear;

  • Mishandling;

  • Incorrect lifting or transportation;

  • Impact or accidental damage;

  • Incorrect storage;

  • Excessive heat, moisture or direct sunlight;

  • Exposure to unsuitable chemicals;

  • Unauthorised repair or alteration;

  • Electrical supply problems;

  • Failure to follow handling instructions;

  • Client-supplied components; or

  • Errors in client-supplied designs, dimensions or files.

32. Care of models
Unless expressly agreed otherwise, models should be:

  • Kept indoors;

  • Kept dry;

  • Protected from excessive heat;

  • Protected from prolonged direct sunlight;

  • Protected from dust and impact;

  • Lifted using the base or designated lifting points;

  • Handled by appropriately instructed people; and

  • Operated in accordance with supplied instructions.

Acrylic covers, lighting systems, moving parts, removable components and fine landscape details require particular care.
We are not responsible for damage caused by unsuitable display or storage conditions after risk has passed to the client.
33. Intellectual property in project work
Each party retains ownership of intellectual property that it owned before the project.
Unless otherwise agreed in writing:

  • The client retains ownership of its pre-existing drawings, designs, branding and project information;

  • We retain ownership of our pre-existing designs, knowledge, processes and manufacturing methods;

  • We retain intellectual property in production drawings, CAD preparation, fabrication files, CNC programs, laser files, print files, jigs, templates, tooling and working methods created by us;

  • The client receives ownership of the completed physical model after full payment; and

  • Delivery of the physical model does not include editable or production files.

Any transfer or licence of intellectual property must be expressly agreed in writing.
We may retain project files for record-keeping, repair, repeat work, legal compliance and protection of our rights, subject to confidentiality obligations.
34. Photography and publicity
We may photograph our work for:

  • Internal records;

  • Quality control;

  • Insurance;

  • Workshop documentation; and

  • Future maintenance or repair.

We will only use project photographs publicly where permitted by:

  • The project agreement;

  • Client approval;

  • A relevant licence;

  • Established reasonable expectations; or

  • Another lawful basis.

We will comply with agreed:

  • Confidentiality restrictions;

  • Non-disclosure agreements;

  • Publicity restrictions;

  • Embargo dates; and

  • Approval procedures.

If a project is confidential or images require prior approval, the client must inform us in writing.
Where appropriate, we may identify and credit the commissioning client, architect, designer or other project contributor.
35. Confidentiality
Each party must take reasonable care to protect confidential information received from the other.
Confidential information may only be:

  • Used for the relevant project or another agreed purpose; and

  • Disclosed to people who reasonably need it and are subject to suitable obligations.

This does not apply to information that:

  • Is already public through no breach of confidence;

  • Was lawfully known before disclosure;

  • Is independently developed;

  • Is lawfully received from another source; or

  • Must be disclosed by law, a court or a regulator.

A separately signed confidentiality or non-disclosure agreement will take priority where applicable.
36. Subcontractors and suppliers
We may use suitable subcontractors, consultants, suppliers, couriers and installers to complete parts of a project.
We remain responsible for the goods and services we have contractually agreed to provide, subject to the terms of the project agreement.
37. Limitation of liability
Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability for:

  • Death or personal injury caused by negligence;

  • Fraud or fraudulent misrepresentation; or

  • A consumer’s statutory rights.

Where the client is acting in the course of business, and subject to the paragraph above:

  • We are not liable for indirect or consequential loss;

  • We are not liable for loss of profit, revenue, anticipated savings, opportunity, goodwill or business;

  • We are not liable for loss caused by inaccurate client information;

  • We are not liable for loss arising from material the client was not entitled to supply;

  • We are not liable for an event outside our reasonable control; and

  • Our total liability arising from a project will not normally exceed the total amount paid or payable to us for that project.

This limit does not apply where another limit is expressly agreed or where liability cannot legally be restricted.
The client is responsible for keeping copies of important files supplied to us. We do not provide a permanent file-storage or backup service.
38. Events outside our reasonable control
We are not responsible for delay or failure caused by events outside our reasonable control.
These may include:

  • Fire;

  • Flood;

  • Severe weather;

  • Accident;

  • Epidemic or pandemic;

  • War or civil disturbance;

  • Terrorism;

  • Government action;

  • Industrial dispute;

  • Power or internet failure;

  • Cyberattack;

  • Machinery breakdown that could not reasonably have been prevented;

  • Supplier failure;

  • Material shortages;

  • Transport disruption;

  • Customs delay; and

  • Site closure or access restrictions.

We will take reasonable steps to reduce the effect and resume performance when reasonably possible.
39. Data protection
We process personal information in accordance with our Privacy Policy.
Clients providing personal information about project participants confirm that they are entitled to provide it and will avoid supplying unnecessary personal information.
40. Notices
Formal project notices should be sent by email or post using the contact details provided in the quotation or these Terms.
A notice sent by email will normally be treated as received on the next working day unless a delivery-failure message is received.
This section does not apply where legislation requires another method of service.
41. Assignment
The client may not transfer its rights or obligations under a project contract without our prior written consent.
We may transfer our rights or obligations as part of a sale, restructuring or transfer of the business, provided that this does not materially reduce the client’s rights.
42. No waiver
If either party delays enforcing a right, that does not mean the right has been waived.
A waiver will apply only to the particular circumstances for which it is given.
43. Severability
If any part of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect.
The invalid provision will be modified only to the minimum extent necessary to make it lawful and enforceable.
44. Third-party rights
Unless expressly stated otherwise, a person who is not a party to the contract has no right to enforce it under the Contracts (Rights of Third Parties) Act 1999.
45. Entire agreement
For business clients, the accepted quotation, these Terms and any documents expressly incorporated into the contract form the entire agreement relating to the project.
Neither party relies on a statement that is not contained in those documents, except that nothing limits liability for fraud or fraudulent misrepresentation.
This section does not restrict any mandatory consumer right.
46. Changes to these Terms
We may update these Terms to reflect changes in:

  • Our services;

  • Business practices;

  • Website operation; or

  • Legal and regulatory requirements.

The latest version will be published on this page with its updated date.
Changes will not normally apply retrospectively to a project already under contract unless agreed by both parties or required by law.
47. Governing law and jurisdiction
These Terms and any dispute or claim arising from them are governed by the laws of England and Wales.
Where the client is acting in the course of business, the courts of England and Wales will have exclusive jurisdiction.
A consumer may have the right to bring proceedings in the part of the United Kingdom in which they live.
